Recent Cases
- Provided legal support to the investment fund CVC Capital Partners within the framework of a transaction for the sale of Paroc Group, the European producer of mineral cotton products, to Owens Corning, the producer of insulation and roofing materials. The transaction amount was about EUR 900million (USD 1.04 billion)
- Provided advice to Neste Corporation concerning the sale of its retail fuel business in Russia consisting of 75 filling stations and a fuel terminal in St. Petersburg. Provided legal support in a multiple-stage bidding process, developed and negotiated transaction documents, and participated in the drafting and signing of agreements concerning the work of the filling stations and the terminal under the Neste brand after closing the transaction
- Provided legal assistance to STADA with respect to the acquisition of Aqualor product line for treatment of sinusitis and tonsillitis
- Provided legal support to a British venture investment fund in acquiring a share in a Russian IoT start-up, and provided advice concerning subsequent investments in the company to develop the IoT project
- Represented Vitruvian Partners, the British direct investment fund, in the acquisition of a majority block of shares of Accountor group (the largest provider of financial, account and HR services in the Northern Europe)
- Provided advice to a major Finnish investment group in the field of real estate on separate matters associated with the group being acquired by an investment fund
- Provided legal support to Procuritas Capital Investors, the Swedish investment fund, in connection with its acquisition of a climate equipment production holding
- Provided legal support as the Russian advisor of IDAVANG Group concerning the issuing of bonds in Denmark. Our work included conducting due diligence of the Russian part of the group, as well as providing advice concerning different financing aspects and establishing a number of security obligations in Russia
