Who and how is buying the business of an American special equipment manufacturer?
A structure of the Balchug Capital fund has reached the final stage of purchasing the remaining Russian assets of the American corporation Caterpillar. The government commission approved the deal for the remaining subsidiaries of the special equipment manufacturer for 2.6 billion rubles.
Are there any risks in the deal?
“A litigation over the asset creates two key risks for the buyer: blocking the closing of the transaction through interim measures and the voidability of the transfer of rights. If the original agreement is declared invalid, the registration of the transfer of shares may be revoked, and the parties will return to their original position. Under sanctions restrictions, the return of funds from the foreign seller will remain legally and technically difficult”, says Andrei Gusev, Senior Partner at Nordic Star.
