We analysed the urban planning status of the target land plot for possibly organising pharmaceutical production on the site. We were involved in structuring our client’s transaction to acquire the land plot, prepared transaction agreements and represented our client in negotiations. The project was complex because the seller owned objects located on the land plot at the time of the transaction, although the seller did not own the land plot. In addition, numerous encumbrances were registered to the real estate objects. This project is interesting for the non-standard structure of acquiring a land plot and buildings on it using a lease agreement for future property with an option to buy. The agreement provided for a complex settlement procedure (letters of credit, security payments), as well as various security mechanisms (bank and independent guarantees, sureties).
