We performed several legal due diligence investigations of brownfield land plots in the St. Petersburg area for residential construction and advised our client on structuring the acquisition transaction as a lease with the option to buy the land plot. The project is remarkable for its complexity, as a pond and a park are located on the land plots which we checked.
For our client, we also carried out a legal analysis of the client’s possible loss of ownership of the land plot in connection with several court cases. In these court cases, the former owners of the land plot, as well as the former shareholders of the owner disputed the transactions in which our client acquired the land plot. In addition, there is a risk of our client’s transaction being challenged due to the previous owner’s bankruptcy. This analysis was complex, since it included issues of procedural law, as well as issues of many branches of substantive law: insolvency/bankruptcy, corporate law, invalidity of transactions, etc.
